American Radiology Services, Inc. ("ARS") began operations on February 1, 1997. The Company, which was primarily formed by the combination of four large physician groups (Johns Hopkins Imaging, LLC; Diagnostic Radiology Associates, P.A.; Schultze, Snider & Associates, P.A.; and Calvert Radiology Associates), owns and operates fixed site diagnostic imaging centers located throughout Maryland. Services provided include Magnetic Resonance Imaging (MRI), Cat Scan (CT), Positron Emission Tomography (PET), Nuclear Medicine, Dual Energy X-ray Absorption (DEXA), Ultrasound, Mammography, Fluoroscopy and X-ray. Services provided under managed care contracts are administered through a wholly owned subsidiary of the Company, Radiology Alliance Delivery Systems, LLC (¿RADS¿). In addition, the Company provides management services to an affiliated physician association, American Radiology Associates, P.A. (¿ARA¿), with which ARS has executed a stock transfer restriction agreement related to ARA stock.
